Agreement
These Terms of Use govern your use of the badal.app website and the Badal mobile application (together, the “Service”), operated by Badal in Dubai, United Arab Emirates. By using the Service you agree to these Terms and to our Privacy Policy. If you use Badal on behalf of a business, you confirm you are authorised to bind that business.
Who can use Badal
You must be at least 18 years old. Business accounts must belong to a legally registered business and pass our verification, which includes a company email, a phone number and a trade licence.
Your account
Every account is verified by email and phone number. You are responsible for keeping your login details and verification codes private and for everything that happens under your account. Tell us immediately at hello@badal.app if you believe your account has been compromised. One person or business may hold one account of each type.
Badal is a platform
Badal helps people and businesses find each other and agree exchanges. Badal is not a party to any swap, does not own or inspect the items, and does not guarantee the condition, legality, quality or delivery of anything exchanged, except for the courier service described below. Agreements reached in chat or the deal room are between the users involved.
Listings
You may list goods, services and assets that you have the right to trade. Listings must be accurate and honest: use real photos or video of the actual item, describe its condition, status and history truthfully, and update or remove listings that are no longer available. Badal has no price field and no monetary valuation. What is exchanged, and whether it is fair, is decided by the users involved.
Prohibited items and conduct
You may not list or exchange anything illegal or restricted under applicable law, including weapons, drugs, counterfeit goods, stolen property, hazardous materials, live animals where prohibited, adult content, or anything requiring a licence you do not hold. You may not harass, deceive or spam other users, scrape the Service, use it to sell for money, circumvent verification, or interfere with its operation. We may remove content and suspend or terminate accounts that break these rules.
Making a swap
A proposed match is only a proposal. Nothing is binding until both sides accept the offer in the app, or sign the agreement in the business deal room. You may bundle items, counter-offer or withdraw before acceptance. If you meet in person, you do so at your own judgement: choose a public place, inspect the items before you swap, and report problems from inside the app.
Badal Courier
Badal Courier is an optional service that collects each party’s item and delivers it to the other party for a fee shown before you confirm. By booking you agree that the addresses and contact details you provide are accurate, that someone will be available during the pickup window, that items are packed safely and are not prohibited items, and that you will confirm receipt or raise an issue within the inspection window shown in the app. Items are photographed at each handover. Badal’s liability for loss or damage during courier handling is limited to the amount stated in the courier terms shown at booking. Cancellation and rescheduling terms are also shown at booking.
Business plans
Business accounts choose a subscription plan. Plan features, prices, billing periods, renewals and cancellation terms are shown at the time of purchase and form part of these Terms. We may change plans with notice; changes apply from your next billing period.
Ratings and reviews
After a completed exchange both sides may rate each other. Ratings must be honest and based on the actual exchange. We may remove ratings that are abusive, fraudulent or unrelated to the exchange.
Your content
You keep ownership of the photos, videos and text you post. You grant Badal a worldwide, non-exclusive, royalty-free licence to host, display and distribute that content within the Service and to promote listings, and to use de-identified information to improve matching. You confirm you have the rights to everything you post.
Badal’s intellectual property
The Service, including its software, design, logo and content created by Badal, belongs to Badal or its licensors and is protected by intellectual property laws. You may not copy, modify or reverse engineer it.
Termination
You may close your account at any time in the app or by email. We may suspend or terminate accounts that violate these Terms or pose a risk to other users. Sections that by their nature should survive, such as disclaimers and limitation of liability, continue after termination.
Disclaimers
The Service is provided “as is” and “as available”. To the fullest extent permitted by law, Badal disclaims all warranties, express or implied, including fitness for a particular purpose. We do not guarantee that matches will be found or that any exchange will be completed.
Limitation of liability
To the fullest extent permitted by law, Badal is not liable for indirect, incidental or consequential losses, or for any loss arising from an exchange between users, except as expressly stated for Badal Courier. Our total liability to you for any claim will not exceed the fees you paid to Badal in the twelve months before the claim, or, if you paid nothing, one hundred UAE dirhams.
Indemnity
You agree to indemnify Badal against claims arising from your content, your exchanges or your breach of these Terms.
Governing law
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, and disputes are subject to the exclusive jurisdiction of the courts of Dubai, without prejudice to any mandatory consumer rights you have where you live.
Changes
We may update these Terms. We will post the new version with a new date and notify you of significant changes in the app or by email. Continued use after the changes take effect means you accept them.
